Equity investors subscribe into the equity holdco (an investor-familiar jurisdiction such as Estonia or Delaware), which owns the operating company — a UAE entity plus Faktorist Ukraine LLC — that runs the marketplace, employs the team and collects all platform revenue.
The €2M seed is offered on a SAFE or priced basis at €12M pre-money. Team equity sits on the holdco cap table.
